1. CONCEPTIONS

1.1. The Seller – MB “ED baldai”, legal entity code 306393798, registration address Jaunimo St. 11, Berniūnai Village, LT-38365 Panevėžys District, e-mail address [email protected], contact phone number +370 668 48911, whose goods are sold in the online store https://www.nolla.lt/.

1.2. Online Store – an Online Store operated by the Seller at the address https://www.nolla.lt/.

1.3. The Buyer – a person who meets the requirements set out in clause 2.2 of these purchase and sale rules and has purchased Goods in the Online Store.

1.4. Parties – the Buyer and the Seller together.

1.5. The Rules for Purchase and Sale in the Online Store (hereinafter referred to as the Rules) are a remote Purchase and Sale Agreement that establishes the rights and obligations of the Buyer and the Seller, the terms of purchase, payment, delivery and return of Goods, the liability of the parties and other conditions related to the purchase and sale of Goods in the Online Store.

1.6. Purchase and Sale Agreement – a Purchase and Sale Agreement concluded between the Buyer and the Seller, which consists of an order for Goods submitted by the Buyer to the Seller through the Online Store and these Rules with subsequent amendments and/or supplements.

2. GENERAL TERMS AND CONDITIONS

2.1. By means of the Purchase and Sale Agreement, the Seller undertakes to sell and transfer the Goods ordered and paid for by the Buyer to the Buyer, and the Buyer undertakes to pay the specified amount of money for the Goods and accept the transferred Goods.

2.2. The right to purchase Goods from the Online Store have visitors to who are:

2.2.1. capable natural persons, i.e. persons who have reached the age of 18 and whose legal capacity has not been restricted by court order.

2.2.2. legal entities.

2.3 The Buyer, before purchasing goods in the Online Store, must familiarize himself/herself with and agree to these Rules. The Rules approved by the Buyer are a binding legal document for the Parties.

2.4 The Buyer is not entitled to order Goods in the Online Store if the Buyer has not agreed to and is familiar with these Rules. In cases where the Buyer does not agree with the Rules or a certain part of them, he/she may not order Goods in the Online Store.

2.5 The Seller has the right to change and/or supplement the Rules. The changed Rules are published in the Online Store. All changes and/or supplements to the Rules come into force from the moment of their publication in the Online Store.

2.6 Before purchasing Goods in the Online Store, the Buyer must familiarize himself/herself with and agree to the Online Store's Privacy Policy. The Buyer's personal data is processed in the Online Store in accordance with the procedure set out in the Privacy Policy.

3. MOMENT OF ESTABLISHMENT OF LEGAL RELATIONSHIPS OF PURCHASE AND SALE

3.1. When ordering Goods(s) in the Online Store, the Buyer must provide the necessary Personal Data, which are stored and processed by the Seller in accordance with the procedure established in the Online Store's Privacy Policy.

3.2. When the Buyer, having selected the Good(s), completes all the steps of the order and submits the order, it is considered that a legal relationship of purchase and sale has arisen between the Seller and the Buyer and a Purchase and Sale Agreement has been concluded.

3.3. The Buyer is informed about the payment confirmation by the Seller sending a notification to the Buyer's email address, which the Buyer indicated when ordering the Good(s) in the Online Store.

3.4. Each Purchase and Sale Agreement concluded between the Buyer and the Seller is protected in accordance with the procedure set out in the Privacy Policy of the Online Store.

4. OBLIGATIONS AND RIGHTS OF THE BUYER AND SELLER

4.1. The Buyer, when ordering the Good(s) in the Online Store, must pay for and accept it(them) following the procedure established by these Rules.

4.2. The Buyer undertakes to comply with these Rules, the Privacy Policy, and not to violate the legal acts of the Republic of Lithuania.

4.3. The Buyer has the right to purchase Goods in the Online Store following the procedure established by these Rules.

4.4. The Buyer has the right to refuse the order and terminate the Purchase and Sale Agreement following the procedure established by these Rules.

4.5. The Seller undertakes to fulfill the Buyer's orders in accordance with the procedure established by these Rules.

4.6. The Seller undertakes to process the Buyer's Personal Data only following the procedure established by the Rules, the Privacy Policy, and the legal acts of the Republic of Lithuania and the European Union.

4.7. The Seller undertakes to comply with these Rules, the Privacy Policy, and not to violate the legal acts of the Republic of Lithuania.

4.8. The Seller has the right to cancel the Buyer's order without prior notice if the Buyer does not pay for the purchased Goods(s).

5. PAYMENT PROCEDURE

5.1 All payments in the Online Store are calculated and made in euros.

5.2 The Buyer can make payment for the Good(s) using Swedbank, Seb, Revolut, Luminor, Citadele, Danske, and Šiaulių bankas electronic banking services, as well as Visa and MasterCard payment cards. Payments are processed using the https://www.montonio.com payment intermediary system.

6. DELIVERY OF GOODS

6.1. The Seller undertakes to deliver the Goods(s) purchased by the Buyer in the Online Store using the delivery method chosen by the Buyer.

6.2. The Goods are delivered to the Buyer by the Company's transport.

6.3. After the Buyer confirms the order, the delivery fee, if applicable, is added to the total amount of the Good(s).

6.4. The Buyer undertakes to indicate the exact delivery address of the Goods(s) in the Online Store when ordering.

6.5. The Seller undertakes to deliver the Good(s) to the Buyer in accordance with the terms specified in the Good(s) descriptions in the Online Store at the time of ordering.

6.6. The Seller is not responsible for the fact that the shape, color, size or other parameters of the Goods in the Online Store may not correspond to the actual color, size, shape or other parameters of the Goods due to the characteristics of the monitor used by the Buyer.

6.7. The Buyer undertakes to check the condition of the delivery and the Goods(s) together with the person who delivered the parcel during the delivery of the Goods(s), if the Buyer ordered the delivery of the Goods(s) using courier services.

6.8. The Buyer undertakes to accept/collect the Goods himself/herself. If the Buyer does not accept the Goods themselves, but the Goods are delivered to the address specified by the Buyer, the Buyer has no right to make claims regarding the Goods delivered to the wrong person.

7. PROCEDURE FOR TERMINATION OF THE PURCHASE-SALES AGREEMENT AND RETURN OF GOODS

7.1. If the Buyer initiates an order in the Online Store but does not pay for it, the Seller sends the Buyer a reminder regarding the unpaid order. If the Buyer fails to pay for the order after the aforementioned reminder, the Purchase and Sale Agreement is deemed not to have been concluded.

7.2. The Seller has the right to terminate the Purchase and Sale Agreement after informing the Buyer in advance if, due to unforeseen circumstances, the Seller cannot deliver the Goods ordered by the Buyer in the Online Store. The Seller has the right to offer similar Goods to the Buyer. If the Buyer refuses similar Goods, the Seller undertakes to refund the money paid within 14 (fourteen) calendar days from the date of termination of the Purchase and Sale Agreement.

7.3. The Buyer has the right to withdraw from the Purchase and Sale Agreement concluded in the Online Store and return the quality Good(s), notifying the Seller in writing no later than 14 (fourteen) calendar days from the date of delivery of the Good(s).

7.4. The Seller undertakes to refund the money paid to the Buyer within 14 (fourteen) calendar days from the date of receipt of the returned good quality Goods(s).

7.5. The Seller has the right not to refund the money paid by the Buyer until the quality Goods(s) has been returned to the Seller or until the Buyer provides proof that the quality product(s) has been sent to the Seller, whichever occurs first.

7.6. The Buyer may exercise the right to return the Good(s) specified in Section 7.3 of the Rules, if the Good(s) have not been damaged, the appearance of the Good(s) has not changed substantially and/or the Good(s) has not been used, and upon presentation of the purchase document for the Good(s).

7.7. When returning a quality Goods(s), the Buyer undertakes to comply with the following conditions:

7.7.1. the returned Good(s) must be undamaged, in the original, neat packaging(s);

7.7.2. The returned Good(s) must be unused and in good condition, including (but not limited to) undamaged labels, untearable protective films, etc.

7.7.3. The returned Good(s) must be in the same condition as when the Good(s) were delivered.

7.8. When returning a quality Goods(s), the Buyer must fill out a return form and send it to the Seller by e-mail [email protected]. Upon receipt of the aforementioned return form, the Seller will contact the Buyer within 2 (two) business days and indicate the possible ways to return the Good(s).

7.9. The Seller has the right to refuse to accept the quality Goods(s) returned by the Buyer if the conditions and procedure for returning the Goods specified in these Rules have not been complied with.

7.10. If the Buyer withdraws from the Purchase and Sale Agreement and returns the quality Good(s), the Buyer will be refunded all amounts paid (including (but not limited to) the delivery costs of the Good(s), except for the costs of returning the Good(s).

7.11. In order to exercise the right to return quality Goods(s) provided for in Section 7 of these Rules, the Buyer must meet the definition of a consumer, as defined in the legal acts of the Republic of Lithuania, i.e. the Buyer must be a natural person who has purchased the Goods(s) in the Online Store for purposes unrelated to his/her business, trade, craft or profession (for consumption purposes).

7.12. The Buyer has the right to withdraw from the Purchase and Sale Agreement concluded in the Online Store and return the Goods(s) of inadequate quality, following the conditions and procedure provided for in the legal acts of the Republic of Lithuania.

7.13. The Buyer who has purchased Goods(s) of inadequate quality, as defined by the legal acts of the Republic of Lithuania, may return the Goods(s), demanding that the defects of the Goods(s) be eliminated, the Goods(s) be replaced with an analogous Goods(s) of adequate quality, or the price of the Goods(s) be reduced, except in cases where the defects are minor or have arisen due to the fault of the Buyer, including (but not limited to) if the defects of the Goods(s) arise as a result of the Buyer's improper actions, including (but not limited to) if the defects of the Goods(s) arise as a result of the Buyer's improper actions, or to withdraw from the Purchase and Sale Agreement and demand a refund of the money paid, when the sale of Goods(s) of inadequate quality constitutes a fundamental breach of the Purchase and Sale Agreement. If the Buyer does not follow the instructions for the care, storage, cleaning, etc. of the Goods(s) received with the product(s), in all cases it is considered that the defects in the Goods(s) occurred due to the fault of the Buyer.

7.14. The Buyer has the right to return the Goods(s) of inadequate quality within the period specified in Article 6.338 of the Civil Code of the Republic of Lithuania from the date of transfer of the Goods(s) to him/her, as well as upon submission of the purchase document for the Goods(s).

7.15. The Buyer, wishing to return the Goods(s) of inadequate quality, must contact the Seller using the Seller's contacts specified in these Rules and specify his/her requirements. The Seller must provide the Buyer with a reasoned response and information on the procedure for the Buyer to return the Goods(s) of inadequate quality, if the Seller agrees with the Buyer's requirements, no later than within 14 (fourteen) calendar days.

8. COPYRIGHT

8.1. All content of the Online Store is the intellectual property of the Seller, including (but not limited to) product photos, product descriptions, etc. posted in the Online Store.

8.2. Any disposal by the Buyer of the content of the Online Store (part thereof), including (but not limited to) posted product photos, product descriptions, etc., or any other type of copying and/or transfer of the aforementioned content (part thereof) to third parties without the Seller's consent are illegal actions.

9. RESPONSIBILITY OF THE PARTIES

9.1. The Buyer is responsible for all illegal actions performed while using the Online Store.

9.2. The Buyer will be liable for the actions mentioned in clause 8.2 of the Rules following the legal acts of the Republic of Lithuania.

9.3. The Buyer is responsible for the accuracy, correctness, completeness and updating of the data provided in the Online Store if the data changes.

9.4. The Seller is not liable for any damage incurred by the Buyer and/or third parties if the Buyer provides inaccurate, incorrect, incomplete data or fails to immediately update changed personal data.

9.5. The Seller is exempt from any liability if the Buyer has not fully or partially familiarized himself/herself with the Rules and Privacy Policy, although he/she was given such an opportunity, and has not followed the instructions for the care, storage, cleaning, etc. of the product(s) received with the product(s).

10. FINAL PROVISIONS

10.1. The Buyer, wishing to submit a notification, complaint, claim, etc., may do so by contacting the Seller at the e-mail address – [email protected] or by contact phone number – +370 668 48911 on business days from 8:00 a.m. to 5:00 p.m. A notification by e-mail is considered received when 24 hours have passed since its sending.

10.2. If the Buyer, being a consumer, as defined by the legal acts of the Republic of Lithuania, does not agree with the Seller's reasoned response to the complaint/claim submitted by the Buyer, the Buyer may submit his/her request regarding the Goods(s) purchased in the Online Store to the State Consumer Rights Protection Service (Vilniaus St. 25, 01402 Vilnius, e-mail: [email protected], tel. 8 5 262 67 51, fax: (8 5) 279 1466, website www.vvtat.lt), as well as to the territorial divisions of the State Consumer Rights Protection Service or fill out the application form on the ODR platform https://ec.europa.eu/odr/.

10.3. All relations between the Parties not regulated by these Rules shall be governed by the legal acts of the Republic of Lithuania.

10.4. All disputes between the Parties arising from this Agreement shall be resolved in good faith, through negotiations, guided by the principles of fairness, reasonableness, and justice. If no mutual agreement is reached, disputes shall be resolved in the courts of the Republic of Lithuania following the procedure established by the legal acts of the Republic of Lithuania.

10.5. All disputes arising from the Agreement shall be governed by the laws of the Republic of Lithuania.
